Terms of Use - Nisto Marketplace
Introduction
These Terms of Use ("Terms") govern the relationship between you ("User", "Vendor", "Supplier", or "you") and Social Awareness Group Inc. ("Company", "we", "us", or "our"), the owner and operator of the Nisto Marketplace ("Marketplace"). By registering as a Vendor or Supplier on the Marketplace, you agree to be bound by these Terms.
2. License Grant
You hereby grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Vendor Data in connection with the Marketplace and our business, including without limitation for promoting and redistributing part or all of the Marketplace (and derivative works thereof) in any media formats and through any media channels.
3. Data Accuracy and Updates
You represent and warrant that the Vendor Data you provide is accurate, complete, and not misleading, and you have the authority to provide your Vendor Data. You agree to promptly update the Vendor Data in the event of any changes or inaccuracies.
4. Privacy
Our collection, use, and disclosure of personal information in connection with the Marketplace are governed by our Privacy Policy, which is incorporated by reference into these Terms. You acknowledge and agree to our Privacy Policy by agreeing to these Terms.
5. Confidentiality
You acknowledge and agree that the Vendor Data may be disclosed to other Users and third parties as part of the operation, promotion, and monetization of the Marketplace. You are solely responsible for ensuring that the Vendor Data you provide does not contain confidential or sensitive information you do not wish to disclose in this manner.
6. Governing Law and Dispute Resolution
These Terms and any disputes arising out of or in connection with them shall be governed by the laws of the Province of Alberta, Canada, without regard to its conflict of laws principles. Any disputes arising from or relating to these Terms shall be resolved through negotiation, mediation, or arbitration, as agreed upon by the parties.
7. Data Usage and Monetization
By registering and submitting information to the Marketplace, you grant us the right to use, display, reproduce, distribute, and create derivative works from the data you provide ("Vendor Data") for the purpose of operating, promoting, and monetizing the Marketplace. This includes but is not limited to, aggregating and analyzing Vendor Data to create reports, rankings, and insights that may be offered to other Users or third parties, either for free or behind a paywall.
8. Changes to Terms
We reserve the right to modify these Terms at any time. If we make changes to these Terms, we will notify you by posting the updated Terms on the Marketplace or by other reasonable means. By continuing to use the Marketplace after such changes, you agree to be bound by the updated Terms.
